Wallet and Card Terms & Conditions
1 // General Information
1.1. These terms and conditions relate to the registration and use of any of the Lite, Pro or Essential Wallets (jointly referred to as the “Enhanced Wallets”).
1.2. The Enhanced Wallets are incorporated by reference to the Platform Terms and Conditions. By using the Enhanced Wallets, you indicate that you agree to the Enhanced Wallet Terms and Conditions. (the “Terms and Conditions”).
1.3. All capitalised terms not defined herein shall have the meaning given in the Platform Terms and Conditions.
1.4. The Enhanced Wallet related financial services are duly sponsored by Bidvest Bank Ltd (“Bidvest Bank”), a company registered in terms of South African law with registration number: 2000/006478/06.
1.5. The Enhanced Wallet capability is owned and operated by Vodacom Payment Services (Pty) Ltd, a company registered in terms of South African law with registration number: 2007/010688/07 (hereinafter referred to as "VPS").
1.6. These Terms and Conditions shall commence from the date on which they are published and continue indefinitely, as amended by VPS from time to time, for so long as Enhanced Wallet exists and is operational, VPS being entitled to amend or terminate these Terms and Conditions and/or shut down the Enhanced Wallet at any time in accordance with these Terms and Conditions.
1.7. You agree that the information you have provided upon registration to the Enhanced Wallet is true and accurate. You agree to inform VPS immediately if the information provided becomes incorrect.
1.8. You may not change any of the Terms and Conditions.
1.9. You may not cede your rights or delegate your obligations in terms of the Terms and Conditions.
1.10. The Terms and Conditions will be governed by the laws of the Republic of South Africa.
1.11. In the event that there are bank system error corrections including but not limited to incorrect double crediting of your Enhanced Wallet, you consent that VPS or Bidvest Bank, shall have the right to debit your Enhanced Wallet. Notification of such correction or debit shall be provided to you.
1.12. No multiple Enhanced Wallets are allowed, and you may upgrade from one Wallet type to another, being from a Lite to an Essential and finally to a Pro Wallet for South African Citizens and Permanent residents and Essential and Prod Wallet for foreign nationals.
1.13. Once you register, your Enhanced Wallet does not expire it only becomes inactive or dormant, however your Enhanced Wallet may be terminated in accordance with these Terms and Conditions.
1.14. If you suspect that your Enhanced Wallet has been compromised please contact VPS on the Fraud Hotline details in clause 20.
2 // Registration/Application for an Enhanced Wallet
2.1. Your registration for the Enhanced Wallet is subject to the approval criteria and may be declined at the sole discretion of VPS.
2.2. VPS will request certain information from you before your registration can be completed successfully i.e. information in respect of your identity.
2.3. You must provide complete, accurate information.
2.4. If you cannot provide satisfactory proof of identity and/or other supporting documentation then VPS may decline your application for an Enhanced Wallet.
2.5. VPS may, in order to meet its regulatory obligations, request additional information and documentation from you after the approval of your Enhanced Wallet application.
2.6. By applying for the Enhanced Wallet, you agree to accept and be bound by these Terms and Conditions
2.7. You will be prompted to choose your PIN or enter biometrics for you to be able to access the Enhanced Wallet.
2.8. Your PIN to the Enhanced Wallet is confidential and must be kept safe at all times.
2.9. VPS and Bidvest Bank will not be held liable for a lost/or compromised PIN or any related losses due to your negligence.
3 // Payments using the Enhanced Wallet
3.1. As part of the Services, you may elect to make payments on the VPS Platforms using a digital Wallet that stores value.
3.2. To register for a Wallet and use the Enhanced Wallet, you must register using your South African mobile number.
3.3. Access to an Enhanced Wallet is subject to compliance with anti-money laundering legislation including but not limited to Financial Intelligence Centre Act No 38 of 2001 as amended (“FICA”) and successful fraud and risk control checks.
3.4. If you do not provide the requested information for the purposes of FICA at the point of registration or after receiving a request at any time after registration you will not be able to transact on your Enhanced Wallet.
3.5. Access to an Enhanced Wallet shall be at VPS’ and Bidvest Bank’s sole discretion.
3.6. The features of each type of Wallet are set out in Annexure A below.
4 // Transferring/Depositing money into Your Enhanced Wallet
4.1. You may deposit funds into your Enhanced Wallet by:
4.1.1. Transferring funds from your bank account to your Enhanced Wallet using Electronic Funds Transfer (“EFT”).
4.1.2. EFT payments are final and irrevocable in nature and you will be unable to lodge disputes to reverse a transaction once it has been successfully processed by VPS and/or Bidvest Bank.
4.1.3. You may also deposit funds into your Enhanced Wallet via cash-in at retailers, VPS Platform VPS will allocate such deposits in near-real time.
4.1.4. Deposits via cash-in at retailers are final and irrevocable and you will be unable to lodge disputes to reverse a transaction once it has been successfully processed by VPS and/or Bidvest Bank.
4.1.5. You may also deposit funds into your Enhanced Wallet using our Instant transfer (EFT) feature on the app. Funds will be transferred directly from your bank account upon successful authorisation received from your bank. Deposits through the Instant transfer (EFT) feature are irrevocable and you will be unable to lodge disputes to reserve a transaction once it has been successfully processed by VSP and/or Bidvest Bank.
5 // Electronic payment instruction transactions
5.1. You should not store your PIN on your cellphone handset in any form whatsoever.
5.2. If your cellphone automatically stores your PIN, the onus is on you to delete it. This will ensure that no one can transact using your Enhanced Wallet, as they will need your PIN to access and authorise transactions.
5.3. All payments effected using your Enhanced Walled are final once approved and there will be no charge backs allowed on such transactions.
5.4. You will be responsible for paying the relevant network or wireless and data service charges that you incur when using the Enhanced Wallet for this purpose.
6 // Cash-out money from Your Enhanced Wallet
6.1. All cash-out transactions effected using your Enhanced Walled are final once approved and there will be no charge backs allowed on such transactions.
6.2. You may cashout from your Enhanced Wallet by:
6.2.1. Transferring funds from your Enhanced Wallet into a bank account using Electronic Funds Transfer (“EFT”).
6.2.2. You may cash out by generating a Standard Bank Instant Money voucher that can only be redeemed at participating retailers only. Standard Bank Instant Money vouchers cannot be redeemed at Standard Bank ATM.
6.2.3. You may also cash-out by generating a cash-out voucher that can be redeemed at one of the participating retailers, participating Agents or at Cash Express ATMs that have been activated to process VodaPay cash-out vouchers. The cash-out can only completed if the retailer, Agent or Cash Express ATMs has sufficient cash available. A minimum amount that can be withdrawn will be displayed in your cash out screen. The daily and monthly limits per your Enhanced Wallet type will apply.
6.2.3.1. The cash-out vouchers will be valid for a period of 30 days. If a cash-out voucher is not redeemed within 30 days, the voucher will be automatically canceled, and funds will be returned to the Enhanced Wallet that initiated the cash-out transaction. The value voucher amount will be credited into the wallet, however, associated fees will not be reimbursed into the Enhanced Wallet.
6.2.3.2. The cash-out vouchers must include the PIN (Personal Identification Number); the PIN will be selected by the person initiating a cash-out voucher and will be used when redeeming cash at one of the leading retailers.
6.2.3.3. The PIN will be valid for 30 days from the day of issue; within the 30 day window the person initiating a transaction can change the PIN and the voucher will be associated with the new PIN, at redemption the new PIN must be used.
6.2.4. You will be able to manage cash-out vouchers on the VodaPay app, the following features will be enabled:
6.2.4.1. View cash-out vouchers; all cash-out vouchers generated with 60 days will be displayed with the corresponding status of the voucher.
6.2.4.2. Cancel cash-out vouchers; all active vouchers that have not been redeemed may be cancelled. If a voucher is cancelled only the voucher amount will be credited into the wallet, associated fees will not be reimbursed into the Enhanced Wallet.
6.2.4.3. Reset cash-out PIN; PIN for vouchers that haven’t been redeemed can be changed and the voucher will be associated with the new PIN, at redemption the new PIN must be used. Pin resets can only be initiated by the person who initiated the cash-out transaction.
6.3. You will be responsible for paying the relevant charges that you incur when using the Enhanced Wallet for this purpose.
7 // Limits on your Enhanced Wallet
7.1. Certain limits may apply for in respect of the value of the transaction you may make and the balance you may hold in your Enhanced Wallet.
7.2. There are different transactional limits applicable to different types of Enhanced Wallets, which you may view in Annexure A below.
7.3. The daily and monthly limits that may be applied to your Enhanced Wallet include:
7.3.1. the total value of any goods and services you may purchase;
7.3.2. cash withdrawals, payments and transfers you can make from your Enhanced Wallet.
7.4. All transaction limits applicable to each Enhanced Wallet type are displayed in Annexure A below. VPS and Bidvest Bank reserve the right to amend such transaction limits at their sole discretion, and will provide you with such notice 30 days prior to implementing same.
8 // Monthly Fees and Charges
8.1. You can view the fees and charges in Annexure A below.
8.2. No activation fee or charges apply
8.3. Any fee/charges will be notified to you 30 days before they come into effect via your preferred communication method.
9 // Interest
9.1. You will not earn interest on the amount held in your Enhanced Wallet.
10 // Dormancy
10.1. Your Enhanced Wallet will be deemed to be dormant after a period of 6 consecutive months of non-use.
10.2. If after the end of month 3, you still do not use your Enhanced Wallet, then:
10.2.1. You will still be able to receive funds into your Enhanced Wallet but to mitigate the risk of fraud, you will not be able to transact from it (“Soft Lock”). You can re-activate your Enhanced Wallet by requesting a system OTP or contacting VPS via the instant chat on the VPS Platform.
10.2.2. Should your Enhanced Wallet remain in a Soft Locked state for a period in excess of 3 months and:
10.2.2.1. no further action is taken for a period of 12 months, VPS shall terminate your Enhanced Wallet and retain your transactional data for a maximum period of 5 years;
10.2.2.2. you have funds in your Enhanced Wallet, then VPS shall transfer such available funds to a VPS Wallet Dormancy Account. You are aware that no interest will be earned on funds retained in the VPS Wallet Dormancy Account;
10.3. VPS will notify you of the 30 days before any inactivity/dormancy status or termination.
10.4. No charges will be applied while your Enhanced Wallet is in dormant/inactivity status
11 // Termination/Deactivation of your Enhanced Wallet
11.1. VPS endeavours to prevent criminal activity including money laundering and terrorist financing.
11.2. Accordingly, if VPS considers it necessary, or if applicable South African or international laws, rules, regulations, restrictions or policies (“applicable law”) require it to do so, VPS may, in its sole discretion:
11.2.1. restrict the use of and/or terminate your Enhanced Wallet without notice to you, if it suspects that your Enhanced Wallet has been or is being used fraudulently, negligently or unlawfully for money laundering activities, financing terrorist and related activities, or in contravention of applicable law; or
11.2.2. terminate the relationship, resulting in the closure of your Enhanced Wallet, and prevent you from using the Enhanced Wallet, at any time after the VPS gives you 30-day notice of such termination.
11.3. VPS may at any time and at its sole discretion deactivate your Enhanced Wallet if you do not comply with these Terms and Conditions.
11.4. VPS may at any time and at its sole discretion deactivate your Enhanced Wallet if your continued use thereof will cause or has caused reputational or potential reputational damage to VPS or Bidvest Bank.
11.5. You may deactivate your Enhanced Wallet on 30 days’ notice by contacting VPS via the instant chat on the VPS Platform.
11.6. The deactivation of your Enhanced Wallet for any reason shall result in the termination of these Terms and Conditions.
11.7. Upon termination of your Enhanced Wallet due to breach of these Terms and Conditions you will be advised to withdraw all your funds within 30 days and your Enhanced Wallet will be deactivated.
11.8. However, should you not withdraw your funds before your Enhanced Wallet is deactivated, the Bank shall transfer the remaining funds into a non-bearing interest account where the funds will be held until such time that you request the funds. You may contact us via the instant chat on the VPS Platform to withdraw your funds.
12 // Authorised Use
12.1. You are the only person authorised to use your Enhanced Wallet.
13 // Change of your contact details and communication with you
13.1. You can contact us via the instant chat on the VPS Platform to change your contact details. Supporting documentation may be requested where required.
13.2. Failure to do so may result in your Enhanced Wallet being suspended.
13.3. VPS will contact you mainly via the app or your preferred method of communication.
13.4. You will need to inform VPS of any change to your contact details.
13.5. If you do not inform VPS of the change in contact details, we will continue using the contact details we have on our data base.
14 // Electronic Communication Indemnity
14.1. You acknowledge that all conversations with VPS or Bidvest Bank may be recorded, and you consent to such a recording.
14.2. You agree that in any dispute between you and VPS or Bidvest Bank regarding electronic instructions and documentation given to VPS or Bidvest Bank, the contents of the electronic instructions, including telephone recording, or electronic document shall be final and binding on you.
14.3. You shall have no claim against VPS or Bidvest Bank, and shall indemnify VPS or Bidvest Bank, for any losses, damage or costs you may suffer or incur as a result of VPS or Bidvest Bank acting upon an electronic instruction, except if the VPS is grossly negligent.
15 // Prepaid airtime and electricity
15.1. A prepaid electricity or airtime purchase or bill payment transaction cannot be reversed or refunded once you have completed a purchase.
16 // Deceased Estate Management
16.1. In the unfortunate event of your death, a letter from the executor or administrator of the estate or your legal representative is required to advise VPS of your death. The letter should include a copy of your death certificate and a copy of your Identification document (ID, Passport, Asylum certificate or Refugee certificate).
16.2. Upon receipt of the documentation referenced above, VPS will Soft Lock your Enhanced Wallet and any user platform on the VPS Platforms.
16.3. If at the time of your death you have available funds in your Enhanced Wallet, VPS will pay-out such available funds to a nominated trust account as advised by the letter received from your executor. Should no such account be indicated, VPS will contact your executor and request that such an account be provided.
16.4. Once the aforementioned has been completed your Enhanced Wallet and profile on the VPS Platforms will be suspended to avoid any potential future use.
17 // Limitation of Liability
17.1. Unless VPS or Bidvest Bank acted with gross negligence or fraudulently, and to the extent permissible by applicable law, VPS and Bidvest Bank shall not be liable for any direct, indirect, special, incidental or consequential loss or damage which you, or any third party, may suffer or incur by your use of the Enhanced Wallet, including but not limited to any
17.1.1. instances where your Enhanced Wallet PIN is compromised and you fail to notify VPS timeously, which results in a loss to you;
17.1.2. unlawful or unauthorised access to your Enhanced Wallet;
17.1.3. suspension or cancellation of your Enhanced Wallet where VPS or Bidvest Bank suspects same is being used for fraudulent or criminal activity;
17.1.4. third party refusing to process any transaction via your Enhanced Wallet;
17.1.5. failure or delay caused by third party service providers or the malfunctioning of any system or network which is beyond VPS or Bidvest Bank’s reasonable control;
17.1.6. loss or corruption of your data; or
17.1.7. circumstances beyond VPS or Bidvest Bank’s reasonable control;
17.2. When you utilise any third party services, websites, plug-ins, and applications within the VPS Platform, tt is your responsibility to get all the relevant information to make a decision and to read the privacy and security policies on third-party service provider’s websites.
17.3. We do not give any warranty about any other third party service, website, software or hardware, including their security or performance. You waive (give up) any claim you may have against VPS and / or Bidvest Bank for any loss or damage you may suffer because you utilised a third party service provider’s services, website, software or hardware.
18 // Warranties, Acknowledgements and Confirmation
18.1. You acknowledge and confirm that VPS or Bidvest Bank may request information from any person, or business, relevant to the services in which you are interested.
18.2. You warrant that the information contained herein is correct, true and complete and that you have full capacity and authority to transact with VPS and Bidvest Bank.
18.3. You acknowledge that you are required to provide documents to verify your identity in terms of anti-money laundering legislation.
18.4. You warrant that you have complied with all applicable legislation and regulations governing your activities including anti-money laundering legislation and exchange control legislation.
18.5. You acknowledge and confirm that VPS and Bidvest Bank may carry out identity, fraud prevention and other illegal activities checks and share information related to this application through the Southern African Fraud Prevention Service and other organisations involved in criminal activities prevention.
18.6. You acknowledge and confirm that VPS and Bidvest Bank may process and share personal information as defined in the Protection of Personal Information Act, No 4 of 2013 with third parties whose services VPS and Bidvest Bank utilises in its ordinary course of business.
18.7. You acknowledge and confirm your understanding that the VPS Platform may include third-party services, websites, plug-ins, and/or applications. Before utilising any of these aforementioned third party services, websites, plug-ins, and applications, we encourage you to read the applicable third party terms and conditions associated with same. You can find these terms and conditions on the websites of the respective product or third party service providers. If there are any differences between these terms and the specific terms and conditions of any product or third party service provider, the specific terms and conditions of that service or third party product provider will apply.
19 // Security and Risk
19.1. Any act performed when using the Enhanced Wallet will be assumed to have been performed by you.
19.2. We shall not be obliged to enquire into, or to prove the authority of any person who has obtained access to your PIN, or who has initiated any transaction using your Enhanced Wallet.
19.3. For your protection and security, you must enter the correct PIN information to identify yourself when using your Enhanced Wallet.
19.4. For your protection, we can refuse to act on any instructions you send us or cancel your access (temporarily or permanently) if you do not meet the verification requirements. This includes entering the wrong PIN.
19.5. We are entitled to act on and accept all transactions done after your PIN has been entered or applied correctly.
19.6. We will assume that you have authorised all such transactions, even if such transactions took place without your knowledge or consent or were not authorised by you. Should you feel aggrieved in respect of a transaction, you are entitled to follow the complaints process set out in clause 22 of these Terms and Conditions.
19.7. You must take the necessary steps to protect your access information, electronic equipment and your cellphone.
19.8. You should never give or show your access information to any person.

21 // Communication with VPS
If you do not understand any part of these Terms and Conditions or how they apply to you, or you would like to get more information on the Services, please contact us through our instant chat on the VPS Platform. You will interact with our chat bot Tobi but should you wish to contact us for any queries or complaints you will be able to request a call back and our friendly call centre agent will call you back. In the event that you need to report fraud; please contact our Fraud line on 082 241 0016.
22 // Amendments of these Terms and Conditions
22.1. VPS shall notify you via your preferred method of communication of any amendments to the Terms and Conditions in respect of the Enhanced Wallet. It is your responsibility to review the amended Terms and Conditions to ensure that you understand them. You may contact VPS should you have any query to the amended Terms and Conditions.
22.2. We will inform you within 30 (thirty) days, in writing prior to any amendments.
22.3. The amendments will be binding on you and will form part of these terms and conditions 30 (thirty) days after we have notified you.
22.4. You may not alter any of these terms and conditions.

24 // Protecting Your Personal Information
24.1. VPS and the Bank are responsible parties in terms of the Protection of Personal Information Act 4 of 2013, in respect of the Enhanced Wallet.
24.2. VPS will share your personal information with the Bank for the purposes of enabling you to transact on the Enhanced Wallet.
24.3. To understand how VPS collects, uses, protects and handles your personal information please visit www.vodacom.co.za.

These Terms and Conditions must be read together with the VodaPay Platform Terms and Conditions.

Annexure B: Virtual Card Terms and Conditions
// 1. Definitions
1.1 Bank or Bidvest Bank means Bidvest Bank Limited, registration number 2000/006478/06, a licensed financial services provider and registered credit provider, NCRCP17. This is the bank sponsoring the VodaPay Enhanced Wallets.
1.2 EDC terminal means a chip-enabled Electronic Data Terminal used for purchases or payments. relating to anti-money laundering and CFT (counter financing of terrorism).
1.3 VodaPay™ Enhanced Wallet refers to the VodaPay Enhanced wallets i.e. the Lite, Pro or Essential wallets opened and managed by VodaPay Services. These are digital wallets that stores value (the "Wallet").
1.4 Card means the transactional Visa debit card in virtual form, issued by VodaPay.
1.5 Card PIN means a 4 (four)-digit personal identification number, which you must provide when using your Card, where required.
1.6 VodaPay Super App means mobile super app, available to all mobile networks, that empowers you to do more from your phone. It acts like a digital wallet and a digital mall at the same time, allowing you to send money, shop online, order food and even pay your bills all from one simple super app.
1.7 VodaPay Super App PIN means the 5 (five)-digit personal identification number, which you must provide to identify yourself when accessing the VodaPay Super App.
1.8 Contactless Transaction means a Transaction whereby you use a secure method to purchase products or services using a debit, credit, smartcard, or another payment device by using radio frequency identification (RFID) technology and near-field communication (NFC).
1.9 Wallet Terms and Conditions means the terms and conditions signed by the Customer and VodaPay that relate to the registration and use of any of the Lite, Pro or Essential Wallets
1.10 Terms and Conditions mean these Terms and Conditions.
1.11 You and your refers to you, the Wallet Holder. In these Terms and Conditions,
1.12 we, us, and our, refer to VodaPay and Bidvest Bank.
1.13 Visa rules mean rules, regulations, and bylaws published from time to time by Visa.
1.14 Merchant means an entity that contracts with the Bank (or another organisation), is a Visa member, can originate merchant Transactions, and displays the Visa Acceptance Mark.
1.15 Merchant Transaction means a Transaction entered into between you and a merchant, e.g., where you make a payment for purchases using your Card.
1.16 Transaction means:
- The payment of goods and services at point-of-sale and online, only at
- Merchants and retailers that display the Visa Acceptance Mark
- The payment for prepaid airtime and electricity purchases
- The withdrawal and deposit of cash from point-of-sale or an ATM
- Contactless Transactions are allowed where a device displays the contactless payment symbol and your VodaPay Virtual debit card has been uploaded in the third-party wallets i.e., Samsung Pay, Google Pay and / or Apple Pay etc.
- When performing a Contactless Transaction, a pin may be required
// 2. Issue, activation, and expiry of your VodaPay Virtual Debit card
2.1 These Terms and Conditions shall apply from the date on which you created the Card, and it is subsequently issued to you.
2.2 The Card belongs to Vodacom Payment Services (Pty) Ltd (VodaPay) and will remain its property at all times.
2.3 If Vodacom Payment Services (Pty) Ltd (VodaPay) issues an additional Card to you at your request for use by another person, you will be responsible for any debit amounts arising through the use of the Card by that person.
2.4 Where a Card has expired, and funds are still held in your wallet a new Card will be generated automatically on your behalf unless you inform VodaPay that you do not require the renewed card.
2.5 If a Card is compromised, you can cancel the card from the VodaPay App and create a replacement card.
// 3. Using your VodaPay Virtual Debit Card
3.1 You are the only person authorised to use the card issued to you upon creation.
3.2 You will be able to create your own unique Pin to the Card.
3.3 Should the PIN be forgotten or compromised, a new PIN can be created by you.
3.4 You may not use the Card for transactions and fees that will exceed the value of the funds held in your VodaPay Wallet. Should you use the card with insufficient funds in your wallet, VodaPay will decline the transaction.
3.5 You use the Card at your own risk, neither VodaPay nor Bidvest Bank will be responsible for any loss, theft or fraud resulting from the use of the Card, for whatsoever reason.
// 4. Authority to debit your VodaPay Wallet
4.1 You hereby authorise VodaPay to debit your VodaPay Wallet with the value of:
- All payments to local and foreign merchants for purchases made by using your Card
- Any instruction from you, whether or not any applicable slips or voucher has been signed.
- The standard transaction fees in respect of the Card and the VodaPay Wallets as notified to you from time to time by VodaPay.
- The charges from foreign ATM networks in respect of cash withdrawals in a foreign currency.
4.2 You will remain liable for any debit amount until your wallet is in credit.
4.3 You acknowledge that from time to time you may receive requests from VodaPay to verify and approve Transactions via a cellphone communication channel and you agree to the receipt of such requests.
4.4 You agree that should you fail to respond to such request and provide an instruction, VodaPay will not process the Transaction.
4.5 You will be charged for the replacement or creation of an additional Card.
4.6 You may be charged for Transactions when using your VodaPay Virtual Debit Card.
4.7 You may be charged for Transactions when using foreign ATM, by the foreign service provider and are liable for these payments.
4.8 You can view all fees in our Wallet Terms and Conditions VodaPay reserves the right to change the fees at any time. You will be notified of any changes.
// 5. Authorised use
5.1 The safekeeping of your Virtual Card details is your sole responsibility.
5.2 You must either memorise the PIN or keep any record of the PIN separate from the Card in a safe place.
5.3 Cancel your card or Notify the Customer Contact Centre, immediately if you realise your Card is compromised.
5.4 Change your PIN immediately should you suspect it has become known to any other person. VodaPay will stop the Card as soon as reasonably possible after being advised. Delay in advising VodaPay could result in a loss to you.
5.4 You will be responsible for all cash drawn and payments made with the Card before the Card is stopped or cancelled.
5.5 You may dispute that any purchase or withdrawal made with the Card was not authorised by you. When you provide an affidavit stating that you did not authorise the Transaction, we will investigate the matter.
// 6. Malfunction of electronic facilities
6.1 VodaPay and Bidvest Bank will not be responsible for any loss arising from any failure, malfunction or delay in any electronic point-of-sale device, EDC terminal or ATM, or in supporting or shared networks, where applicable, resulting from circumstances beyond the reasonable control of the Bank or VodaPay and for which the Bank or VodaPay is not responsible.
// 7. Protecting your personal information
7.1 We may use your personal information to:
7.1.1 enable us to provide the services in terms of this Agreement and in connection with your account and for verification of your identity and address;
7.1.2 protect against and prevent fraud, unauthorised transactions, claims and any other liabilities;
7.1.3 provide, administer and communicate with you about products, services and promotions which we think may be of interest to you (including contests, offers and competitions), and to notify you about important changes to the features and operations of those products and services;
7.1.4 operate, evaluate and improve our business (including developing new products and services, managing our communications, determining the pre-effectiveness of our advertising, analysing our products and services, training, performing and producing data reports and analyses that do not identify you as an individual, and performing accounting, billing, reconciliation and collection activities).
// 8. Limitation of VodaPay and Bidvest Bank’s liability
8.1 We will not be liable to you for any loss or damage that you may suffer for any reason, or as a result of information provided by us as permitted by the laws of South Africa including, but not limited to, the Protection of Personal Information Act to any person or credit reference agency.
8.2 You indemnify both Bidvest Bank and VodaPay for all losses, damages including direct, indirect, special, incidental, or consequential losses or damages and costs we may suffer or incur on your behalf due to non-payment, overpayment, or Transactions exceeding the amount available in your VodaPay wallet.
8.3 You agree that Bidvest Bank and VodaPay are not liable for any direct, indirect, special, incidental or consequential damages or loss of any kind whatsoever or howsoever caused (whether arising under contract, delict or otherwise and whether the loss was actually foreseen or reasonably foreseeable) arising as a result of your use of or inability to use Virtual Card on the VodaPay platform or any other channels.
8.4. You use a Card at your own risk. We do not guarantee that a Card will always be available for you to use or that all transactions will be correctly processed.
8.5. We are not liable to you for any losses or damages arising out of or in connection with:
8.6. these Terms.
8.7. the discovery and use of your Card details for the purpose of processing fraudulent or unauthorised transactions.
8.8. any defect, fault, malfunction, or delay in your Device hardware and/or software.
8.9. any technical or other problem (such as interruption, malfunction, or downtime) that affects a Card, the VodaPay App, or a third-party system.
8.10 any dispute in respect of a transaction (including any errors in the descriptions of the products or services that are offered or the actions or inactions of any Merchant).
8.11 any failure or problem affecting products or services provided by any other party, for example, Internet service providers, electricity suppliers (such as Eskom), or a local or other authority; or
8.12 any event or situation that we have no control over, for example where you do not have enough money on a Card, your Device is stolen, your network is not available, or your Device does not have the capability or capacity you require.
8.13 This clause does not exclude or limit any liability that, by law, cannot be excluded or limited. Nevertheless, our maximum liability in respect of the Terms is limited to all the fees you pay to us in respect of any Card.
8.14 Unless VodaPay or Bidvest Bank acted with gross negligence or fraudulently, and to the extent permissible by applicable law, VodaPay and Bidvest Bank shall not be liable for any direct, indirect, special, incidental, or consequential loss or damage which you, or any third party, may suffer or incur by your use of the Virtual Debit Card, including but not limited to any
8.15 instances where your Virtual Debit Card PIN is compromised and you fail to notify VodaPay timeously, which results in a loss to you.
8.16 unlawful or unauthorised access to your Virtual Debit Card.
8.17 suspension or cancellation of your Virtual Debit Card where VodaPay or Bidvest Bank suspects same is being used for fraudulent or criminal activity.
8.18 third party refusing to process any transaction via your VodaPay Virtual Debit Card.
8.19 failure or delay caused by third party service providers or the malfunctioning of any system or network which is beyond VodaPay or Bidvest Bank's reasonable control.
8.20 loss or corruption of your data; or
8.21 circumstances beyond VodaPay or Bidvest Bank’s reasonable control.
8.22 You waive any claim which you may have against VodaPay and Bidvest Bank for any losses or damage which you may suffer as a result of the Bank or VodaPay acting on such instructions and you indemnify the Bank and VodaPay against all costs or claims you may suffer.
// 9. Liability
9.1 Where relevant, Visa rules apply to the contractual relationship between you and us, and such rules form part of these terms and can be found on: https://usa.visa.com/
// 10. Warranties, Acknowledgement and Confirmation
10.1 you acknowledge and confirm that VodaPay and the Bank may request information from any person, credit bureau, bank or business, relevant to the services in which you are interested.
10.2 You warrant that the information contained herein is correct, true and complete and that you have full capacity and authority to transact with VodaPay.
10.3 You acknowledge that You are required to provide documents where applicable to verify your identity in terms of anti-money laundering legislation.
10.4 You warrant that You have complied with all applicable legislation and regulations governing your activities including anti-money laundering legislation and exchange control legislation.
10.5 You acknowledge and confirm that VodaPay and the Bank may carry out identity, fraud prevention and other illegal activities checks and share information related to this application through the Southern African Fraud Prevention Service and other organisations involved in criminal activities prevention.
10.6 You acknowledge and confirm that VodaPay and the Bank may process and share personal information as defined in the Protection of Personal Information Act, No 4 of 2013 with third parties whose services VodaPay and Bidvest Bank utilise in their ordinary course of business
10.7 You acknowledge and confirm that you have received and read the disclosure and legal information provided by the Bank in terms of the Financial Advisory and Intermediary Services (FAIS) Act.
// 11. Amendments on these terms
11.1 Bidvest Bank and VodaPay may change these terms at any time. We will notify you of any material changes to the terms.
// 12. General
12.1 I agree that the information I have provided in the Application is true and accurate. I agree to inform VodaPay immediately if the information provided becomes incorrect.
12.2 Payments will be made to merchants regardless of any product disagreement you may have with them.
12.3 If you deposit into your VodaPay wallet using your card details (an OCT transaction), the relevant amount will be made available within 30 minutes of the deposit.
// 13. General
13.1 The Terms and Conditions shall be read in conjunction with the Wallet & Platform Terms and Conditions and these shall be the sole record of the agreement between you and us with regard to the subject matter hereof.
13.2 You may not change any of the Terms and Conditions. No indulgence we may grant to you shall constitute a waiver of or prejudice our rights in terms of the Terms and Conditions. You may not cede your rights or delegate your obligations in terms of the Terms and Conditions.
13.3 If Bidvest Bank and/or VodaPay takes legal action against you to recover any amount due in terms of this agreement, you will be liable for the all costs (including all legal fees, collection commission, and tracing fees) on the scale between attorney and client.
13.4 You agree that VodaPay and Bidvest Bank may sue you in the Magistrates Court, even if the claim against you exceeds the jurisdiction of the Magistrates Court.
13.5 A certificate signed by any VodaPay or Bank official (whose appointment needs not be proved) as to the amount of your debt to VodaPay, the fact that the amount is payable, the rate of interest payable, and the date from which such interest is calculated, will be proof of the facts stated in the certificate for the purpose of provisional sentence or summary judgment proceedings or for any other purpose.
13.6 You must immediately inform us if you are placed under administration, become insolvent or have any other form of legal disability.
13.7If any of the Terms and Conditions are found to be unenforceable for any reason, the remaining Terms and Conditions shall continue to be of full force and effect.
13.8 The Terms and Conditions will be governed by the laws of the Republic of South Africa.
13.9 If you receive an SMS when you are not transacting, or using the Card for ATM withdrawals, or suspect the possibility of fraud; please contact our fraud line on 082 241 0016 Failure to do so could result in financial loss to you.
// 14. Electronic Communication Indemnity
14.1 You acknowledge that telephone conversations with VodaPay may be recorded, and you consent to such a recording.
14.2 You agree that in any dispute between you and VodaPay regarding electronic instructions and documentation given to VodaPay, the contents of the electronic instructions, including telephone recording, or electronic document shall be final and binding on you.
14.3 You shall have no claim against VodaPay, and shall indemnify VodaPay, for any losses, damage or costs you may suffer or incur as a result of VodaPay acting upon an electronic instruction or document, except if VodaPay is grossly negligent.
14.4 You authorise VodaPay to debit your wallet with the amount of losses, damage, costs or claims which VodaPay suffers or incurs as a result of it acting on an electronic instruction or document.
// 15. Prepaid and Electricity
15.1 A prepaid electricity or airtime purchase Transaction cannot be reversed or refunded once you have completed a purchase.
// 16. Security and Risk
16.1 Any act performed when using the VodaPay Virtual Card will be assumed to have been performed by you.
16.2 You must take the necessary steps to protect your access information (Card , Card Pin and electronic equipment, including your cellphone). You should never give or show your access information to any person.
// 17. Transaction History
17.1 If you believe that your Transaction history contains an error, you must notify VodaPay of the error in writing within 30 (thirty) days of receipt of the Transaction history. Should notification not be received within a reasonable time, VodaPay will not be liable for correction of the error.
// 18. Closing VodaPay Virtual Debit Card
18.1 You may cancel your VodaPay Card at any time by cancelling it on the VodaPay App or call our Contact Centre.
18.2 Your VodaPay Wallet will remain open even after the Card has expired, until you inform VodaPay that you wish to close your wallet.
18.3 If the Card has already expired and a credit balance is available, VodaPay will pay you the balance in ZAR (Rand), at your request, after fees have been deducted.
18.4 You will remain liable for outstanding amounts and Transactions conducted after your Virtual Debit Card or VodaPay Wallet has been closed.
18.5 We may cancel or suspend your Card at any time. If this happens, you may not continue to use the Card. If you do so, then VodaPay will not be liable and you will be responsible for any consequences. If VodaPay suspends or cancels your Card, we will notify you. After the agreement between you and VodaPay ends, VodaPay will be able to rely on these terms.
18.6 Upon closure of your wallet or suspension of your right to use the Card, VodaPay will be entitled to inform any Merchant, credit reference agency, or other person entitled to such information.
18.7 If we close your VodaPay wallet, you will remain entitled to any unclaimed funds in the VodaPay wallet No monthly charges will apply. Unclaimed funds will be held with the VodaPay wallet.
// 19. VodaPay Virtual Cards
19.1 You may use the Virtual Card for:
a. eCommerce transactions;
b. In-App purchases;
c. Any other type of transaction as determined by VodaPay from time to time.
19.2 Your Virtual Card(s) is automatically activated when it’s created.
19.3 You may create 3 Virtual Cards for use.
19.4 You must ensure that you have upgraded to a wallet i.e., Lite, Essential, and Pro wallets that allows you to create a Card before attempting to create a VodaPay virtual debit card.
19.5 Your wallet must be in good standing in terms of the wallet and KYC rules, inter alia, to create a VodaPay virtual debit card.
19.6 You will have the ability to pause and unpause your Virtual Card(s) on the VodaPay App and your Virtual Card(s) can be kept in a temporarily blocked state and only unblocked when required for use and reinstated by unpausing the card.
19.7 Your Virtual Card(s) can be permanently deleted by cancelling your card on the VodaPay app. It is your responsibility to ensure that you delete your Virtual Card(s) should you no longer want to make use of it/them.
19.8 If your Card is used for recurring or subscription transactions and the Card expires or is cancelled, it is your responsibility to ensure you create a new Card and update the details of the Card with the relevant Merchants
19.9 Your Virtual Card(s) is valid for 5 years from the month of its creation.
19.10 The spend threshold on your Virtual Card(s) is dependent on available funds in your VodaPay wallet.
19.11 Virtual Debit Card(s) spend limits are defaulted by VodaPay but can however, can and be customised and must always be within and not more than your VodaPay Wallet Limits.
19.12 Upon transacting, if the transaction exceeds the spend limits you have set on your Virtual Debit Card or if there are insufficient funds available in your VodaPay wallet, the transaction will be automatically declined.
19.13 When you transact on your Virtual Debit card, we will debit the transaction against your available funds on your VodaPay wallet.
19.14 Your use of your Virtual Card(s) must not in any way be a contravention of the Exchange Control Regulations or any similar regulations, promulgated from time to time, and you must comply with all relevant Exchange Control requirements.
19.15 To create a Virtual Card(s), you must have a VodaPay Wallet, as well as the latest version of the Vodacom App loaded on your device(s).
19.16 You may be required to use a Personal Identification Number (“PIN”) when performing a contactless transaction via a tap top pay or contactless POS device.
19.17 Your wallet must be in good standing in terms of the wallet and KYC rules, inter alia, to create a VodaPay virtual debit card.
19.18 You must take the necessary precautions to safeguard your device(s), wallet, cards, and access to your VodaPay App and access mechanisms, such as passwords and PINs.
19.19 Merchants have the discretion to accept or reject a Virtual Card transaction.
